Terms of Service

1. Overview

These Application Terms of Service ("Terms") govern your access and use of AgentSpec, a generative AI platform owned and operated by Cloudplexo ("Cloudplexo", "we", "us", or "our").

By using AgentSpec, you agree to these Terms and to the general Cloudplexo Terms and Conditions, which remain fully applicable.

2. Service Description

AgentSpec enables users to create, deploy, and manage agentic workflows. The Service may include AI-based automation tools, APIs, and related web interfaces.

3. Data Handling

AgentSpec is built on a privacy-first architecture.

We do not collect, store, or retain user data, workflow content, or prompts processed through the platform.

All data is processed in real time and handled securely during transmission.

AgentSpec interacts with AWS Bedrock under Cloudplexo's enterprise agreement. AWS's privacy and security standards apply to all model interactions.

4. User Responsibilities

By using AgentSpec, you agree to:

• Use the Service only for lawful purposes and in compliance with all applicable regulations.
• Ensure that any data or inputs you process through AgentSpec do not contain sensitive personal information.
• Refrain from using the Service to generate or distribute harmful, offensive, or misleading content.
• Acknowledge that AI-generated results are probabilistic and may not always be accurate. Users should independently verify all outputs.

5. Ownership and Intellectual Property

All proprietary code, algorithms, and platform designs are owned by Cloudplexo.

You retain ownership of the inputs (prompts, workflow designs) and outputs (generated results) you create using AgentSpec.

However, by using the Service, you grant Cloudplexo a limited, non-exclusive, revocable license to process those inputs as necessary to deliver the Service.

6. Integration and Third-Party Dependencies

AgentSpec relies on third-party infrastructure and AI services (e.g., AWS Bedrock).

You acknowledge and agree that Cloudplexo is not responsible for the performance, accuracy, or availability of any third-party systems integrated with the Service.

7. Service Availability

AgentSpec aims to maintain a 99% uptime guarantee, excluding scheduled maintenance or causes beyond our control. Performance and availability depend on cloud infrastructure provided by AWS.

8. Disclaimer of Warranties

AgentSpec is provided "as is" and "as available", without any warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that AI outputs will be free from bias, error, or omission.

9. Limitation of Liability

To the maximum extent permitted by law, Cloudplexo and its affiliates shall not be liable for any indirect, incidental, or consequential damages arising from:

• Use or inability to use AgentSpec,
• Reliance on AI-generated content, or
• Any interruption, loss of data, or system failure.

In no event shall our total liability exceed the amount paid by you (if any) for use of the Service during the month preceding the incident.

10. Termination

We reserve the right to suspend or terminate your access to AgentSpec for any reason, including violation of these Terms or misuse of the Service.

11. Updates to These Terms

We may update these Terms periodically. Continued use of AgentSpec after changes take effect constitutes acceptance of the updated Terms.
